This End User Licence Agreement ("EULA") is a contract between you and A-SOFTWARE Spółka z ograniczoną odpowiedzialnością (A-SOFTWARE Sp. z o.o.), ul. Stefana Batorego 39/9, 02-591 Warszawa, Poland (KRS 0000966584, NIP 1133056000, REGON 521758529) ("Licensor", "we").
It governs your use of the Night Sterling software, installers, updates, and related documentation (the "Software"). Website accounts, the online store, and privacy practices are also covered by the Terms & Conditions and the Privacy & Cookie Policy. If this EULA conflicts with the Terms on software use, this EULA prevails.
By installing, activating, or using the Software you accept this EULA. If you do not agree, do not install or use the Software.
1. Licence grant
Subject to this EULA and your plan (Free, Create, Pro, or any other edition we offer), we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the Software on Windows devices that you own or control, solely for the licensed purpose.
- The Free edition may be used for personal or commercial projects within the feature limits of that edition.
- Paid perpetual licences cover the purchased edition/version as described at checkout and in your account.
- Subscriptions grant use only while the subscription is active and in good standing.
- Device and activation limits are those stated at purchase, in the product, or in your account. You may move a paid licence to another device if you deactivate it on the previous device, unless we state otherwise.
2. Ownership
The Software is licensed, not sold. A-SOFTWARE Sp. z o.o. and its licensors retain all intellectual property rights in the Software, branding, and Night Sterling materials. You retain rights in your own media and projects.
3. Restrictions
You must not:
- copy, distribute, rent, lease, sell, or sublicense the Software except as this EULA allows;
- reverse engineer, decompile, or attempt to extract source code except where mandatory law permits;
- circumvent licence, activation, or security controls;
- use unauthorised keys, cracks, or shared paid accounts;
- remove proprietary notices; or
- use the Software for unlawful content or in a way that infringes third-party rights.
4. Third-party components and online services
The Software includes third-party and open-source components. Those components remain subject to their own licences. Notices are listed on the License Credits page.
Optional integrations (cloud storage, stock media, YouTube and similar) are provided by third parties under their terms. We are not responsible for those services.
5. Updates, online features, and analytics
We may provide updates, patches, or new versions. Some features need an internet connection and an account. Application analytics in the Software are off by default and collected only if you opt in, as described in the Privacy & Cookie Policy.
6. Term and termination
This EULA lasts until terminated. It ends if you breach it, if a subscription ends, or if we discontinue the Software and give reasonable notice where practicable. On termination you must stop using the Software and uninstall it. Provisions that should survive (ownership, restrictions, liability, governing law) remain in effect.
7. Disclaimer and liability
The Software is provided "as is" to the extent permitted by law. We do not warrant that it will be error-free or uninterrupted, or that it will meet every production requirement.
Nothing in this EULA limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or fraud. Consumer statutory rights are not affected.
For Business Customers, to the maximum extent permitted by law, A-SOFTWARE Sp. z o.o. is not liable for indirect or consequential loss, loss of profits, or loss of data. Total aggregate liability under this EULA is limited to the amount you paid for the relevant licence or subscription in the 12 months before the claim (or PLN 2 000 if nothing was paid).
8. Governing law
This EULA is governed by the laws of Poland. The courts of Warsaw have jurisdiction, except that Consumers may also bring claims in their country of residence where mandatory law allows.
